Terms of Service

1. Acceptance of Terms

By accessing or using AegionIQ (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

AegionIQ is an AI-powered Salesforce governance platform that provides org health scanning, dependency mapping, change impact simulation, permission auditing, and AI-assisted governance recommendations. The Service connects to your Salesforce org via OAuth 2.0 with read-only access to analyze metadata configurations.

3. Account Registration

• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access to your account
• You may not share accounts or credentials with unauthorized individuals
• One person or organization may not maintain more than one free account

4. Subscription Plans & Billing

Free Plan

The Free plan includes limited scans (2 per month), basic analysis, and 100 AI tokens. The Free plan does not include Impact Simulation, Deep Scan V2, Permission Audit, or PDF reports.

Pro Plan

The Pro plan is billed monthly ($49/month) or annually ($39/month, billed at $468/year). It includes unlimited scans, Impact Simulation, all premium features, 2,000 AI tokens per month, and support for up to 5 orgs and 10 users. A 14-day free trial is available for new subscribers.

Enterprise Plan

Enterprise plans start at $149/month and include unlimited orgs, users, and history. Enterprise pricing is customized based on your organization's needs. Contact sales for details.

AI Token Packs

Additional AI tokens can be purchased as one-time add-on packs. Purchased token packs do not expire. Monthly plan tokens reset on your billing date and do not roll over.

5. Free Trial

New users may be eligible for a 14-day free trial of the Pro plan. No credit card is required to start a trial. At the end of the trial period, your account will revert to the Free plan unless you subscribe to a paid plan. You may only use one free trial per organization.

6. Cancellation & Refunds

• You may cancel your subscription at any time from your account settings
• Cancellation takes effect at the end of your current billing period
• No refunds are issued for partial billing periods
• Annual subscriptions may be eligible for a prorated refund within the first 30 days
• Purchased token packs are non-refundable

7. Acceptable Use

You agree not to:

• Use the Service to violate any law or regulation
• Attempt to gain unauthorized access to other users' data or accounts
• Reverse engineer, decompile, or disassemble the Service
• Use automated tools to scrape or extract data from the Service
• Resell, sublicense, or redistribute the Service without authorization
• Interfere with the Service's infrastructure or other users' access
• Upload malicious code or attempt to exploit vulnerabilities

8. Intellectual Property

The Service, including all code, algorithms, designs, documentation, and branding, is the exclusive property of AegionIQ, Inc. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. You retain all rights to your Salesforce metadata and data.

9. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and processing of data as described therein. We access your Salesforce org metadata in read-only mode and do not access your business data (records, contacts, opportunities, etc.).

10. Service Availability & SLA

We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access. Scheduled maintenance will be communicated at least 48 hours in advance. Enterprise customers may negotiate custom SLAs as part of their contract.

11. Limitation of Liability

AegionIQ provides governance analysis and recommendations as informational tools. The Service does not guarantee the detection of all risks or the prevention of all production incidents. To the maximum extent permitted by law, AegionIQ shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless AegionIQ, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
